In accordance with the provisions of article 10 of Real Decreto-Ley 5/2023, of June 28, transposing European Union Directives on structural modifications of Commercial Companies (Real Decreto-Ley 5/2023), makes public that the annual meeting of partners of BETTER CONSULTANTS, S.R.L., held universally on July 2, 2024, unanimously approved its transformation into a “Sociedad Anónima“, renamed BETTER CONSULTANTS, S.A.

The Transformation has been approved unanimously, in accordance with the transformation project drafted and signed by the board of directors on July 2, 2024, unanimously approving the balance sheet closed on February 29, 2024 as the transformation balance sheet, in accordance with the provisions of articles 20 and 23 of Real Decreto-Ley 5/2023, as well as the new text of the company’s bylaws, complying with the requirements and formalities established in the Ley de Sociedades de Capital for public limited companies.

In accordance with the provisions of article 9.1 of Real Decreto-Ley 5/2023, it is stated that the subkect is an internal Transformation, approved at a universal meeting and unanimously by all partners with voting rights. Therefore, the prior publication or deposit of the Transformation Project or the remaining documents required by Law was not necessary. Likewise, and for the same reasons, it is stated that it was not necessary to publish the announcement on the possibility of making observations on the Transformation Project provided for in article 7 of Real Decreto-Ley 5/2023.

In accordance with article 10 of Real Decreto-Ley 5/2023, it is stated the right of the Company’s creditors to obtain the full text of the transformation agreement and the approved balance sheet.
